The Sale Process
Moss Adams Capital tailors its services to the specific objectives and needs of each client. Sell-side transactions may include some or all of the following services:
Understanding Your Objectives
First, we invest the time required to thoroughly understand our clients' objectives. Then we develop a custom strategy designed to meet them.
Valuation
Extensive experience and analysis allows us to estimate value of a sale or acquisition with strong confidence. Moreover, we can help determine the unique strategic value that is derived from the combination of one company with another.
Due Diligence
We conduct an in-depth business review to anticipate and solve problems, to preserve confidentiality and improve client's probability for success by eliminating unpleasant surprises that can bring a transaction to a halt.
Identifying Prospects
We use multiple resources to identify prospective buyers or sellers, including a proprietary database assembled using our years of investment banking experience. Our process discovers prospects with strategic profiles and financial qualifications that match the objectives of our clients. We pride ourselves on creating a highly focused and tailored process.
Materials Preparation
We will prepare the information and marketing material required for the success of the transaction. On the other hand, we do not require the client to assemble unnecessary materials and use our experience to anticipate what’s required.
Transaction Strategy
Based on the client’s objectives, we can help determine the optimum transaction strategy to maximize value. It may be a privately negotiated sale or a tightly focused auction among a limited number of participants.
Negotiations
Moss Adams Capital bankers bring outstanding experience to the negotiations. MAC professionals are adept at handling a wide range of complex issues, and advise and assist the owners at each stage of the discussions.
Getting the Deal Closed
We remain actively involved until the transaction closes. We are relentless about staying on top of a transaction until we get it closed to our clients' satisfaction.
